Tribridge Investor Club is a Tribridge‑led investing community focused on early‑stage technology companies. Tribridge operates the club’s process and infrastructure (intake, scheduling, diligence, and—when applicable—SPV execution), while investment evaluation is member‑led and individual members make their own investment decisions.

ROLES
How We Operate
This runbook uses three primary roles: the Club Committee, the Club Operational Manager, and the deal‑specific Deal Diligence Group.
Club Committee
Composition
Tribridge Managing Directors (MDs) and selected club members not belonging to Tribridge, appointed/approved by Committee Chair.

Committee Chair
The Committee Chair is a Tribridge Managing Director. The Chair convenes Committee meetings and ensures adherence to the club's policies and process.

Responsibilities
• Owns operating cadence, quality bar, and enforcement of policies
• Final authority on process integrity
• Owns gate decisions: go / no-go
• Assigns the Committee reviewer for prescreen
• Approves process exceptions; resolves escalations
Club Operational Manager
The Club Operational Manager is responsible for day‑to‑day execution of the club's operating workflow (staffed by Tribridge).
• Manages intake and qualification; maintains pipeline stages
• Coordinates founder communications, scheduling, and meeting logistics
• Manages member recruitment, onboarding, engagement, and events
• Manages membership dues, vendor payments, document retention, and SPV setup/administration
Deal Diligence Group
The Deal Diligence Group forms per deal from members who opt in after the screening meeting, once the Committee approves the diligence gate within 24 hours.
• Owns due diligence execution for the deal
• Selects a diligence lead and assigns workstreams
• Reviews data room materials and runs the founder deep‑dive Q&A
• Diligence lead owns the deal through closing
• Produces findings and an investment recommendation + memo

Join the Club
BASIC QUALIFICATIONS
• Meets accredited investor criteria defined by SEC
• Willingness to participate in diligence and maintain confidentiality
• Willingness to provide hands-on support to invested startups
PREFERRED QUALIFICATIONS
• Seasoned entrepreneurs, angel investors, and senior executives with a strong track record in technology and innovation
• Relevant experience in biotech, AI, or technology‑driven businesses

MINIMUM PARTICIPATION REQUIREMENTS
To maintain active membership status, each member is expected to:
• Invest in at least one Tribridge‑facilitated deal and at least $20,000 per calendar year (individual or via SPV)
• Attend at least 1/3 Tribridge‑organized event per year, including but not limited to: Screening meetings, Prescreen reviews / committee meetings (if committee member), Portfolio or community events
